A Community Network for Reciprocal Shopping

MYcroPESA Private Electronic Settlement Alternative is a digital tokenization and reciprocal shopping platform serving PESA Club members.

DataMax Business Systems provides the technology infrastructure, tokenization smart contracts and platform access as a subscription service.

Participation is voluntary and subject to these Terms & Conditions.

1. What MYcroPESA Does

MYcroPESA connects merchants and shoppers through a digital reciprocal trading network. Every member may participate as both a shopper and a merchant.

• Merchants offer UNSOLD products or unused service capacity.
• Shoppers receive PESA Coin rewards under the applicable membership rules.
• Merchant transactions are recorded through digital Cash Keys.
• Members use platform tokens for eligible reciprocal shopping transactions.

MYcroPESA facilitates the tokenization and settlement process. It does not itself guarantee demand for any product.

2. Tokenized Assets and Their Value

Members acknowledge that MYcroPESA creates and manages two complementary digital tokens.

Members agree that a token's recorded value, its eligibility for settlement, and its immediate cash convertibility are distinct matters.

3. Base Escrow Conditions

Members acknowledge and accept the following conditions when tokenizing their products, services or cash value:

1. The contribution is voluntarily committed for reciprocal barter trade.
2. The platform records the applicable tokenized value under its smart contracts.
3. Merchant transaction claims are represented by Cash Keys in the applicable escrow records.
4. Token-based shopping settlement requires the prescribed pairing of PESA Coins and Cash Keys.
5. A token or escrow record does not independently guarantee an immediate cash payment or a future trading match.
6. Any withdrawal, transfer, conversion or release from escrow is subject to the platform's applicable transaction rules and supported facilities.

Members understand and accept these base escrow conditions before participating in reciprocal transactions.

4. Merchant and Shopper Agreement

By listing, purchasing, selling or contributing value, members confirm that:

• Their participation is voluntary.
• They understand the recorded value and settlement conditions of their tokenized assets.
• Products or services offered are declared UNSOLD or unused and available for reciprocal trade.
• They accept future reciprocal shopping as an expectation, not a guarantee.
• They understand that matching products or services may not be available.
• They accept the platform's applicable token pairing and escrow conditions.

Merchants remain responsible for the lawful description, quality, availability and delivery of the products or services they offer. Shoppers remain responsible for their own lawful transaction obligations.

5. No Guaranteed Trade or Settlement Liability

The parties acknowledge that voluntary barter contributions do not create an automatic obligation for PESA Club, MYcroPESA, DataMax Business Systems or other members to:

• Purchase a member's UNSOLD inventory.
• Supply replacement goods or services.
• Find a matching buyer or merchant.
• Guarantee the double coincidence of wants.
• Redeem unpaired tokens for cash.
• Compensate a member solely because a desired reciprocal trading opportunity is unavailable.

This provision does not exclude liability for fraud, misconduct, breach of an express contractual obligation, statutory consumer rights, or any liability that cannot lawfully be excluded.

6. Role of DataMax Business Systems

DataMax Business Systems supplies MYcroPESA technology, tokenization smart contracts, transaction records and subscription-based platform access.

It is not automatically a purchaser of UNSOLD inventory, a counterparty to every member trade, or a guarantor of future reciprocal transactions.

Its responsibilities are limited to the services and obligations expressly undertaken under these Terms and applicable law.

7. Membership and Subscription Plans

• Free Trial: Limited platform features and eligible cashback rewards of 40%.
• Smart Saver Wallet: KSh 20 per 7 days, or the applicable coin-based renewal option. Eligible cashback rewards of up to 80%, with access to supported withdrawal and payment facilities.
• Premium PESA Club: KSh 365 per year, including eligible merchant tools, coin swaps, coin advances and free product listings.

All benefits remain subject to subscription status, eligibility and applicable platform rules.

8. Fees, Transfers and Cash Facilities

• No shopper purchase fee where expressly provided by the platform.
• Coin transfers may attract a 1.5% service fee.
• Other applicable fees are disclosed through the relevant platform facility.
• MYcroPESA is not offered as a conventional savings or deposit account.
• Cash-out and payment facilities, where available, operate under their stated eligibility and settlement conditions.

A voluntary cash contribution intended for tokenization is treated as a reciprocal barter contribution under the applicable transaction rules. Any separate cash payment, refund or withdrawal obligation expressly accepted by a party remains subject to its terms and applicable law.

9. Acceptable Use

• Use the platform only for lawful transactions.
• Do not counterfeit, duplicate, manipulate or misuse tokens.
• Do not misrepresent product availability or transaction values.
• Do not treat PESA Coin rewards as guaranteed investments or profits.
• Comply with applicable platform policies and transaction conditions.
